The Board Roles

The main role of the board is mainly to direct and control. The board’s key purpose “is to ensure the company’s prosperity by collectively directing the company’s affairs, while meeting the appropriate interests of its shareholders and relevant stakeholders” (Standards for the Board, IoD). AWI ambition is to become a worldwide publicly traded conglomerate as the highest leadership body of the company and to satisfy its fiduciary duties, the board is responsible for:

 

  • Determining the mission and purpose of the group
  • Selecting and evaluating the performance of the CEO
  • Strategic and organizational planning
  • Ensuring strong fiduciary oversight and financial management
  • Financing and resource development
  • Approving and monitoring AWI corporate programs and services
  • Enhancing AWI public image
  • Assessing its own performance as the governing body of the company
